1. About these Terms
Welcome to Deepali Rhode Art.
These Terms of Service (“Terms”) govern your use of deepalirhodeart.com (the “Website”) and any purchases you make through it.
In these Terms, “we”, “us” and “our” mean Deepali Rhode, trading as Deepali Rhode Art, of [BUSINESS CORRESPONDENCE ADDRESS]. “You” and “your” mean any person using the Website or purchasing from us.
Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer our products and services to you.

3. Using the Website
You may use the Website only for lawful purposes.
You must not:

Introduce viruses, malware or other harmful material;

Attempt to gain unauthorised access to the Website, its server or related systems;

Collect personal information about other users;

Use automated systems to scrape, copy or extract Website content without our written permission; or

Use the Website or its content in a way that infringes our rights or the rights of another person.
You must be at least 18 years old and legally capable of entering into a contract to place an order.
We may suspend or restrict access to the Website where reasonably necessary for security, maintenance or suspected misuse.
4. Product information
We take reasonable care to ensure that product descriptions, photographs, dimensions, prices and availability are accurate.
Artwork displayed on a screen may appear different from the physical piece because of lighting, photography, screen calibration and device settings. Reasonable differences of this kind do not affect your rights where an item is faulty, damaged or materially different from its description.
Because artwork and some related products are handmade, minor variations in colour, texture, paper, mount, frame or finish may occur.
Where relevant, the product description will state:

Whether a work is an original, limited-edition print, open-edition print or reproduction;

The materials and surface used;
-
Its dimensions;
-
Whether measurements include a frame or mount;

Whether it is supplied framed or unframed;
-
Whether a certificate of authenticity is included; and
-
Any special care or display requirements.
Unless the product description expressly states otherwise, frames, mounts, room settings and decorative objects shown in photographs are not included.
We may update product descriptions or discontinue products at any time. Changes will not affect an order we have already accepted unless you agree to the change or we are correcting an obvious error.
5. Caring for artwork
Original artwork, particularly soft pastel work, can be delicate. Pastel surfaces should not be touched, rubbed or exposed to moisture. Works should be handled carefully and displayed using suitable glazing and framing methods.
Any care guidance supplied with an artwork should be followed. Failure to follow that guidance may damage the work. This does not affect your rights if the artwork was faulty or damaged when supplied.
6. Placing an order
When you place an order, you are offering to buy the products in your basket.
After receiving your order, we will send an acknowledgement email. This confirms that we have received your order but does not necessarily mean that we have accepted it.
A binding contract is formed when we send you an order-confirmation email expressly accepting your order. If we dispatch the order before sending that email, the contract is formed when the order is dispatched.
Please check your order carefully before submitting it. Contact us promptly if you believe you have made an error.
We may decline or cancel an order before acceptance for a legitimate reason, including where:

The product is unavailable;

We cannot authorise your payment;

We cannot deliver to your location;
-
The order breaches an applicable purchasing restriction;

We reasonably suspect fraud or unlawful activity; or
-
There is an obvious error in the price or product description.
If we cannot accept an order, we will notify you and refund any payment taken.
7. Availability and original artwork
Original artworks may be unique and available as a single item. Although we take reasonable steps to keep availability information current, an original may occasionally be sold through another authorised channel before the Website is updated.
If this happens, we will contact you and issue a full refund. We will not substitute another work without your agreement.
We may apply reasonable quantity limits to prints or other products where necessary.
8. Prices and payment
Prices are displayed in pounds sterling unless otherwise stated.
Prices include VAT where applicable. Deepali Rhode Art is not currently VAT registered, so VAT is not separately charged.
Delivery costs and any other applicable charges will be displayed before you submit your order.
For international orders, the recipient may be responsible for customs duties, import taxes, brokerage charges or other charges imposed by the destination country. Unless expressly stated otherwise, these charges are not included in our prices or delivery fees and are the customer’s responsibility.
You must provide complete and accurate payment and billing information and must be authorised to use the selected payment method.
If a price displayed on the Website contains an obvious error, we are not required to supply the item at that price. We will contact you before accepting the order and give you the opportunity to proceed at the correct price or cancel.
Prices, offers and promotions may change from time to time. Any change will not affect an order that we have already accepted.
9. Shipping and delivery
Shipping methods, estimated delivery times, charges and any territorial restrictions are explained in the Shipping and Delivery Policy, available separately on the Website.
Delivery dates are estimates unless we expressly agree to a guaranteed date. We are responsible for delivering your order within the agreed period or, if no period has been agreed, without undue delay and normally within 30 days after the contract is formed.
We are not responsible for delays caused by events outside our reasonable control, but we will contact you and take reasonable steps to minimise the effect of a delay. Your legal rights concerning seriously delayed delivery remain unaffected.
For consumer orders, responsibility for the goods remains with us until they come into the physical possession of you or a person you have nominated to receive them.
If you independently appoint a carrier that we did not offer, responsibility may pass to you when we deliver the goods to that carrier.
Ownership of the goods passes to you once we have received full payment and the goods have been delivered.
10. Delivery damage and missing parcels
Please inspect your order carefully after delivery.
If an artwork or product arrives damaged, defective or materially different from its description, contact us as soon as reasonably possible at drhodeart@gmail.com.
If possible, please include photographs of:

The artwork or product;
-
The outer packaging;
-
The inner packaging; and
-
The shipping label.
Keeping the packaging while we investigate may help us make a claim against the carrier. However, failing to contact us immediately or provide photographs does not remove any statutory rights you may have.
If tracking records an order as delivered but you have not received it, please contact us so that we can investigate with the carrier.
11. Cancellation, returns and refunds
Your rights to cancel an online order, return products and receive a refund are explained in the Refund and Returns Policy, available separately on the Website. That policy forms part of these Terms.
For most standard products purchased online, consumers may notify us that they wish to cancel within 14 days beginning on the day after the goods are received. After notifying us, the consumer normally has a further 14 days to return the goods.
Exceptions may apply, including to goods that are made to the customer’s specifications or are clearly personalised. These exceptions may apply to bespoke commissioned artwork, but only where the legal requirements for the exception are met.
The absence of a change-of-mind cancellation right does not affect your rights where an item is faulty, damaged, not as described or otherwise does not conform to the contract.
Where a cancellation right applies, you may use the model cancellation form provided in the Refund and Returns Policy, although you are not required to use that form.
Nothing in these Terms or our Refund and Returns Policy limits your rights under the Consumer Rights Act 2015 or other applicable consumer law.
12. Commissions and personalised artwork
Bespoke commissions and personalised works may be subject to a separate written commission agreement covering matters such as:

The agreed subject and specifications;

Reference images and permission to use them;

Price and deposit;
-
Estimated completion date;
-
Approval stages and revisions;
-
Cancellation;
-
Delivery;
-
Copyright; and
-
Our right to photograph or display the completed work.
If a separate commission agreement conflicts with these Terms, the commission agreement will take precedence in relation to that commission.
We will tell you before you order if a work is being made to your specifications or is clearly personalised and whether this affects your statutory cancellation right.
Unless otherwise agreed in writing, commissioning an artwork does not transfer copyright or reproduction rights to the customer.
13. Intellectual property
Unless expressly agreed in writing, all copyright and other intellectual-property rights in the Website, artwork, photographs, designs, text, graphics, videos, branding and other content belong to us or our licensors.
When you purchase an original artwork or physical print, you acquire ownership of that physical item only. Copyright and reproduction rights do not transfer to you.
Without our prior written permission, you must not reproduce, copy, scan, publish, distribute, adapt, license, manufacture merchandise from or otherwise commercially exploit our artwork or Website content.
You must not use our artwork or Website content to create non-fungible tokens or to train an artificial-intelligence system without our prior written permission.
You may share photographs of artwork you own for ordinary personal, non-commercial purposes, provided that you do not claim authorship and, where reasonably possible, credit Deepali Rhode Art.
You may not use the name, logo or branding of Deepali Rhode Art without our prior written permission.
Nothing in this section restricts a lawful resale of a physical artwork or print that you own. A resale does not transfer copyright or reproduction rights.
Third-party names, photographs, artworks and trademarks appearing on the Website remain the property of their respective owners and are used under licence or as otherwise permitted by law.
14. Customer reviews and submitted content
If you voluntarily submit a review, testimonial, photograph or other content for publication, you confirm that:

The content is your own or you have permission to submit it;

It is accurate to the best of your knowledge;

It does not infringe another person’s rights;
-
It is not unlawful, abusive, defamatory or misleading; and
-
You have disclosed any payment, free product or other incentive connected with it.
You grant us a non-exclusive, worldwide, royalty-free licence to reproduce and display that content for the purposes of operating and promoting Deepali Rhode Art.
You may withdraw this permission by contacting us. Withdrawal will not require us to recall printed material already produced or remove content where continued retention is required by law.
We may moderate or remove submitted content where we reasonably believe it is unlawful, misleading, offensive, irrelevant or in breach of these Terms.
We will not publish a customer’s personal information beyond what they agreed to make public.
15. Third-party services and websites
The Website may contain references to third-party websites or use third-party services, including payment, delivery, social-media and ecommerce services.
We do not control third-party websites and are not responsible for their content, availability or separate terms. You should review the applicable terms and privacy information before using them.
Nothing in this section excludes responsibility that we are legally required to accept.
16. Shopify
Deepali Rhode Art is powered by Shopify, which enables us to provide the Website and online store.
Sales made through our store are made directly between you and Deepali Rhode Art. Shopify is not the seller of our products and is not responsible for fulfilling your order.
Your use of Shopify-supported features may involve the processing of information by Shopify. Further details are provided in our Privacy Policy and in Shopify’s own privacy information, available on Shopify’s website.
Nothing in this section excludes or limits any liability or consumer right that cannot lawfully be excluded.
17. Privacy and cookies
We process personal information as explained in the Privacy Policy, available separately on the Website.
Because the Website is hosted by Shopify, information relating to your access, use and purchases may also be processed by Shopify and relevant service providers.
Further information about this processing is provided in our Privacy Policy and Shopify’s own privacy information, available on Shopify’s website.
Our use of cookies and similar technologies is explained in the Cookie Policy, available separately on the Website. Where required, non-essential cookies will not be used unless you provide consent.
18. Website availability
We aim to keep the Website accurate, secure and available, but we do not guarantee that it will always operate without interruption or error.
We may temporarily suspend or change the Website for maintenance, security, operational or legal reasons. Where reasonably possible, we will try to avoid unnecessary disruption.
Information on the Website is provided for general information and should not be treated as professional advice.
19. Our responsibility to you
We are responsible for losses you suffer that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible for losses that were not foreseeable when the contract was formed or for business losses suffered by a consumer.
If you use products purchased from us for commercial or business purposes, we will not be responsible for loss of profit, loss of business, business interruption or loss of business opportunity, except where liability cannot lawfully be excluded.
Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence;

Fraud or fraudulent misrepresentation;

Breach of your statutory rights;

Defective products where liability cannot lawfully be excluded; or

Any other matter for which liability cannot legally be excluded or limited.
20. Events outside our control
We are not responsible for delay or failure caused by an event outside our reasonable control, such as severe weather, fire, flood, industrial action, transport disruption, customs delays, war, civil emergency, epidemic, failure of telecommunications networks or governmental action.
If such an event affects your order, we will contact you as soon as reasonably possible and take reasonable steps to reduce its effect.
If there is a substantial delay, you may have the right to cancel and receive a refund for products you have paid for but not received.
21. Ending or restricting Website access
We may suspend or end your access to the Website if you materially breach these Terms, misuse the Website or create a security risk.
Ending Website access will not affect:

An order we have already accepted;

Rights and obligations that arose before termination;

Your statutory consumer rights; or

Provisions intended to continue after termination, including those concerning intellectual property and liability.
22. Changes to these Terms
We may update these Terms to reflect changes in our business, the Website or applicable law.
The Terms applying to an order are normally those in force when we accept that order. Later changes will not retrospectively alter an existing order unless the change is required by law or you expressly agree to it.
We will publish the current version on this page and update the “Last updated” date.
23. Transfer of rights
You may transfer your rights under these Terms where the law permits. Otherwise, you may transfer your rights or obligations only with our written agreement.
We may transfer our rights and obligations to another person or organisation, but only where doing so does not reduce your rights. We will notify you if such a transfer materially affects you.
24. Severability
If a court or relevant authority finds that part of these Terms is unlawful or unenforceable, the remaining provisions will continue in effect.
25. No waiver
If we delay enforcing these Terms, we may still enforce them later. A delay or failure to act does not waive our rights.
26. Third-party rights
Except where these Terms expressly state otherwise, no person other than you and us has a right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
27. Governing law and disputes
These Terms and any contract between you and us are governed by the laws of England and Wales.
If you are a consumer resident in Scotland or Northern Ireland, you retain the benefit of any mandatory legal protections available to you in that part of the United Kingdom.
You may bring legal proceedings in the courts of England and Wales. If you live in Scotland, you may generally bring proceedings in Scotland or England and Wales. If you live in Northern Ireland, you may generally bring proceedings in Northern Ireland or England and Wales.
If you live outside the United Kingdom, you may also have mandatory rights under the law of your country of residence that these Terms cannot exclude.
